Governing Law and Venue

Subject to the Binding Arbitration section, the state and federal courts located in or serving Rutherford County, Tennessee shall have exclusive jurisdiction and venue for any permitted court proceedings.
Binding Arbitration and Class Action Waiver
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration on an individual basis. The arbitration shall be administered by a reputable arbitration provider and conducted in English in Rutherford County, Tennessee, under applicable consumer arbitration rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
YOU AND LUMINOUS LEDGER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Opt-Out: You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these Terms, stating your full name, contact information, and your clear intent to opt out. If you opt out, you agree to the exclusive jurisdiction and venue provisions above.
If the class action waiver is found unenforceable, the entirety of this arbitration provision shall be null and void, and disputes shall be resolved in court as set forth under Governing Law and Venue.
Electronic Communications and Notice
By using the Site, you consent to receive communications from us electronically, including emails and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
